Charter for Icon Software Corporation’s Software Advisory Board
Introduction
This charter sets forth the primary elements – mission statement, member selection process, and board responsibilities of the Icon Software Advisory Board (ISAB). The ISAB has been established in response to Icon Software Corporation’s initiative to encourage user communication with the goal to realize improvements to all Icon Software products by involving the users of Icon’s Court Innovations™ family of software
ISAB will commence to exist on the 1st day of March, 2004. Icon Software Corp has selected all ISAB members for the inaugural year beginning on the 1st day of March 2004. At each annual meeting of Icon Software beginning in 2004, any available ISAB user seats will be filled by nominating and voting of Icon users.
ISAB meetings and proceedings are open to all ISAB members and Icon Software representatives. Icon Software Corp will provide all funding for ISAB, including reimbursement of any costs incurred by an ISAB member for the duration of the meeting. Meeting dates and times will be announced at least thirty days prior to each meeting.
Mission Statement
The ISAB will meet to review Icon Software Corp software products. ISAB will report its recommendations based upon familiarity as a user and the opinions of users in order to improve existing software and provide improved software to all current users and future users.
ISAB Members
The Board will have approximately twelve user members and three Icon Software Corp employees. Only one ISAB member may come from an office or agency. User members will be a cross-section of users from the Clerk of Court, Court Administration, Judges, and Register of Deeds. Members will represent all States in which Icon Software Corp conducts business. Additionally, all products must be represented on the ISAB. ISAB will have three subcommittees: Judicial, Land Records, and Probate. Additional subcommittees may be added at the discretion of the ISAB. Officers and committee chairman may be selected at the discretion of the ISAB
Responsibilities of ISAB members
Provide feedback to Icon Software Corp related to each software module. Work together with other users of Icon Software Corp products and encourage other users to provide ISAB members with suggestions and to work closely together as a group of users. ISAB members must attend and participate in fifty (50) percent of all scheduled ISAB meetings. If any member cannot meet the attendance requirements of the ISAB, Icon Software Corp has the right to replace that member.
